ONCUT PRISM END-USER LICENSE AGREEMENT
Effective date: 2026-11-01
EULA version: 1.1
This End-User License Agreement ("EULA") governs the installation and use of oncut Prism, supplied by:
Michail Oikonomou (ΟΙΚΟΝΟΜΟΥ ΜΙΧΑΗΛ), sole proprietor, trading as "oncut"
Nikolaou Gennimata 20
11524 Athens, Greece
Email: support@oncut.gr
Website: https://apps.oncut.gr
In this EULA, "oncut", "we", "us", and "Licensor" refer to the person and business identified above.
Please read this EULA carefully before installing or using oncut Prism.
By installing, activating, accessing, or using the Software, you agree to be bound by this EULA.
If you do not agree to this EULA, do not install or use the Software.
Nothing in this EULA excludes, restricts, or limits any right or remedy that cannot lawfully be excluded, restricted, or limited under applicable mandatory law.
1. Definitions and Scope
"oncut Prism", "Prism", or the "Software" means the oncut Prism software product supplied by oncut, including, where applicable:
- the Avid Media Composer panel extension;
- local backend services;
- the Exopsis metadata engine and its libraries and helper executables;
- licensing components, including the oncut License Manager;
- runtime components;
- proprietary third-party runtime components;
- open-source components;
- updates, upgrades, patches, and bug fixes;
- associated documentation; and
- other files supplied as part of Prism.
"Documentation" means user documentation, compatibility information, system requirements, release notes, license information, support documentation, and other materials supplied or published by oncut for Prism.
"Consumer" means a natural person acting for purposes outside that person's trade, business, craft, or profession.
"Business User" means a natural or legal person acting wholly or mainly for purposes relating to a trade, business, craft, profession, organisation, or other professional activity.
"User" or "you" means the person or legal entity lawfully using the Software under this EULA.
"License Manager" means the oncut License Manager, a separate program supplied by oncut that Prism's installer puts on the computer once for all its users, that other oncut products share, and that activates, renews and deactivates licenses and registers trials with oncut's activation server (Section 4).
"Third-Party Component" means software, libraries, runtime components, SDK components, or other technology owned or licensed by a third party and included in, linked with, dynamically loaded by, statically incorporated into, or otherwise used by Prism.
Exopsis is proprietary software developed and owned by oncut and forms part of Prism. It is not a Third-Party Component.
2. License Grant and Trial
2.1 Paid License
Subject to compliance with this EULA and, where applicable, payment of the applicable license fee, oncut grants you a limited, non-exclusive license to install and use Prism for lawful personal, professional, production, or business purposes.
The Software is licensed, not sold. Ownership of the intellectual property in the Software is not transferred to you.
The scope, duration, permitted number of installations or workstations, and other license-specific conditions may be stated in:
- the applicable purchase or order record;
- license information supplied with the Software;
- a license certificate;
- applicable Documentation; or
- another written agreement with oncut.
A license runs on as many computers at a time as the number of seats it was sold with: one, unless your purchase states more (Section 2.3).
2.2 Trial License
Where a trial license is provided, the trial period is fourteen (14) consecutive days from the day the trial started on that computer.
During the valid trial period, Prism is fully functional within the functionality provided by the applicable build.
There is one trial per computer. The License Manager records the trial with oncut's activation server (Section 4). The first three days need no internet connection; after that, the trial continues only once the computer has been online, and it ends no later than fourteen days after it started on that computer. The trial requires the License Manager.
When the trial period expires, the right to continue using the trial ends unless a valid paid or otherwise authorised license is activated.
A trial license does not create a right to additional or repeated trial periods.
2.3 Seats, Deactivation and Revocation
A seat is one computer on which the license is active at a time.
You free a computer's seat with Deactivate in the License Manager, to activate the license on another computer. The limits on how often a seat may be freed are stated in the License Manager and at https://apps.oncut.gr/license-manager. A computer that is lost without deactivating frees its seat when its activation ends.
oncut may stop renewing the activations of a license whose purchase has been refunded or charged back, or that is used in breach of this EULA. The license then ends when its current activations end.
For Consumers, nothing in this Section limits any statutory remedy.
3. Installation, Copies and Network Deployment
You may make copies of the Software reasonably necessary for lawful installation, backup, recovery, or deployment, subject to this EULA and applicable mandatory law.
You may store an installer or deployment package on an internal network solely for the purpose of installing or updating properly licensed copies of Prism.
Keeping an installer or deployment package on a network does not create additional licenses.
Each workstation requiring a separate license must be properly licensed unless the applicable license-specific terms expressly provide otherwise.
4. License Activation, the License Manager and Machine Identification
Prism runs licensed only together with an activation for the computer it runs on.
The License Manager obtains the activation from oncut's activation server and renews it automatically while the computer is connected to the internet. An activation that is not renewed ends after a limited period stated in the License Manager; a computer that connects at least once within that period stays activated without interruption.
For a computer that is never connected to the internet, oncut provides an offline activation through support. It runs for the period stated in the License Manager and cannot be ended early.
Prism itself verifies the license key and the activation locally and opens no network connection. Prism runs licensed only while the License Manager is installed.
4.1 What the License Manager Sends
To activate, renew or deactivate a license, or to register a trial, the License Manager sends oncut's activation server the license key (not for a trial), a machine identifier and the name of the operating system. Each request also reveals the computer's IP address to the server, as with any internet service.
The machine identifier is a salted, one-way value derived on the computer from a platform-provided system identifier. It does not reveal your hardware. oncut processes it only to activate the license on that computer, to count the computers the license is active on, to record the trial for that computer, and to support you.
The machine identifier is not used for advertising, behavioural profiling, or usage analytics.
The Privacy Policy (Section 9) describes what the activation server keeps and for how long.
4.2 If the Activation Service Is Discontinued
If oncut discontinues the activation service for Prism, oncut will, before it does so, make available to every holder of a valid license a means of keeping the license running without the service, at no charge, on the computers it is active on and on any computer that replaces one of them.
4.3 Virtual Machines and Circumvention
Use of Prism in a virtual-machine environment is permitted, subject to the same applicable licensing and activation limits as use on a physical computer.
An activation will not be refused or revoked merely because the licensed computer is virtualised.
You must not circumvent, disable, manipulate, or interfere with Prism's license verification or activation mechanisms except where such activity is expressly protected by mandatory applicable law.
5. Permitted Use
You may use Prism to inspect, extract, analyse, organise, normalise, map, display, transfer, or otherwise process supported media and metadata in accordance with the functionality provided by the Software.
You may process media, metadata, projects, and other content for which you have the legal right or authority to perform the relevant processing.
Business Users may allow employees or contractors to use the Software on their behalf only to the extent permitted by the applicable license.
Where another person uses Prism under your license, you are responsible for ensuring that the use complies with the applicable license terms.
You are responsible for complying with laws and third-party rights applicable to media, metadata, projects, files, or other content that you choose to process with Prism.
6. Restrictions
Except where expressly permitted by this EULA, separate applicable terms, or mandatory law, you must not:
- distribute, sell, sublicense, rent, lease, lend, or commercially redistribute the Software;
- make the Software available as a hosted service, shared service, time-sharing service, application-service-provider service, or software-as-a-service offering without prior written permission from oncut;
- separate proprietary components supplied solely for operation as part of Prism and use or distribute them independently;
- remove, conceal, or alter copyright, trademark, attribution, license, or proprietary notices;
- modify, adapt, translate, decompile, disassemble, reverse engineer, or otherwise attempt to discover the source code, proprietary algorithms, protected implementation details, or other proprietary portions of the Software, except where such activity is expressly permitted by mandatory applicable law;
- circumvent license enforcement, activation, technical protection, or access-control mechanisms, except where such activity is protected by mandatory applicable law; or
- use proprietary portions of Prism or its proprietary components to create or distribute an unauthorised derivative or competing product where such restriction is permitted by applicable law.
Nothing in this Section restricts rights granted directly to you under an applicable open-source license or other Third-Party Component license.
Nothing in this Section restricts statutory rights relating to computer programs that cannot lawfully be waived or excluded.
Where the conditions established by applicable law are satisfied, a lawful user may exercise statutory rights concerning:
- reproduction or adaptation necessary for lawful use of the Software;
- creation of a backup copy where necessary for lawful use;
- observation, study, or testing of the functioning of the Software while performing acts the user is entitled to perform; and
- reproduction or translation of code where indispensable to obtain information necessary to achieve interoperability of an independently created computer program.
Any information obtained through legally permitted decompilation or interoperability activity may be used only within the purposes and limits permitted by applicable law.
7. Avid Media Composer Requirement and Compatibility
Prism is designed to operate with supported, validly licensed versions of Avid Media Composer.
Avid Media Composer is a separate product and is not included with Prism.
You are responsible for obtaining and maintaining any Avid Media Composer license required for your use of Media Composer.
Supported Media Composer release branches, maintenance releases, operating systems, and other compatibility requirements are specified in the applicable Prism Documentation and compatibility information.
Compatibility requirements may change between Prism releases as Media Composer and other technologies evolve.
Compatibility with Avid Media Composer does not by itself mean that Prism is owned, sponsored, endorsed, certified, warranted, or guaranteed by Avid.
8. Third-Party Components
Prism may include, link with, dynamically load, statically incorporate, or otherwise use Third-Party Components.
Third-Party Components remain the property of their respective owners and licensors.
The inclusion or use of a Third-Party Component does not transfer ownership of that component to you.
8.1 Open-Source Components
Open-source components are governed by their respective open-source licenses.
Applicable copyright notices and license texts are supplied with Prism through the Third-Party Notices or other accompanying license documentation.
Where an applicable open-source license grants rights broader than this EULA, that open-source license governs the relevant component and this EULA does not restrict those rights.
Nothing in this EULA is intended to convert an open-source component into proprietary software or to impose restrictions prohibited by its applicable license.
8.2 Proprietary Vendor Runtime Components
Certain Prism functionality may use proprietary SDK runtime components or other proprietary Third-Party Components that oncut is authorised to incorporate, link, bundle, or redistribute as part of Prism.
Unless separate applicable terms expressly provide otherwise, you receive no independent license to:
- vendor SDK development materials;
- SDK headers;
- vendor source code;
- developer tools;
- static development libraries;
- documentation not intended for redistribution;
- vendor trademarks or logos; or
- other proprietary vendor material supplied to oncut for development rather than end-user distribution.
Proprietary vendor runtime components supplied solely as part of Prism may be used only as necessary for the authorised operation of Prism, except where mandatory law or the applicable vendor terms provide otherwise.
You must not extract, separately redistribute, sell, sublicense, rent, lease, repackage, modify, or independently use such proprietary runtime components except where the applicable vendor terms or mandatory law expressly permit that activity.
If functionality requires separately licensed third-party software, firmware, or other technology that is not licensed to you as part of Prism, you are responsible for obtaining a valid license for that technology and using it in accordance with its applicable terms.
Nothing in this EULA modifies any separate agreement between oncut and a Third-Party Component supplier.
8.3 Third-Party Supplier Rights
oncut and its Third-Party Component suppliers retain all right, title, and interest in their respective software and intellectual property.
Except where expressly granted by the applicable Third-Party Component license or mandatory law, no additional rights in Third-Party Components are granted to you.
To the maximum extent permitted by applicable law, Third-Party Component suppliers make no warranty, condition, representation, or guarantee to you regarding their components merely because those components are included in or used by Prism.
To the maximum extent permitted by applicable law, such suppliers disclaim warranties and conditions concerning matters including:
- performance;
- results;
- integration;
- non-infringement;
- merchantability;
- satisfactory quality; and
- fitness for a particular purpose.
To the maximum extent permitted by applicable law, Third-Party Component suppliers will not be liable to you for consequential, indirect, incidental, special, or similar loss arising solely from the use of their components as part of Prism, including loss of profits or loss of savings.
These provisions are intended to operate for the benefit of the applicable Third-Party Component suppliers to the maximum extent permitted by applicable law.
Nothing in this Section:
- excludes or limits liability that cannot lawfully be excluded or limited;
- reduces any mandatory right of a Consumer against oncut;
- overrides an applicable Third-Party Component license that gives you greater rights;
- imposes restrictions prohibited by an applicable open-source license; or
- creates a direct contractual obligation between you and a Third-Party Component supplier where no such obligation otherwise exists.
9. Privacy, Licensing Information and Diagnostics
Prism does not include analytics or usage telemetry that automatically reports your use of the Software to oncut.
The only data that leaves the computer automatically is what the License Manager sends to oncut's activation server for licensing (Section 4.1). Prism itself opens no network connection.
Diagnostic logs generated by Prism are stored locally and are not automatically transmitted to oncut.
Prism does not automatically transmit your media files, projects, metadata, or other production content to oncut.
Where you voluntarily provide a support package, diagnostic information, logs, screenshots, sample files, metadata, or similar material to oncut, the submitted material may contain technical information relevant to the support request, including the machine identifier, your operating-system and Media Composer user and computer names, file and folder paths of the media you worked with, and Prism's diagnostic log.
Prism shows you this material before you send it. You should review it and provide only information reasonably necessary for the support request.
Personal data processed by oncut in connection with purchases, licensing, license administration, support, website use, or diagnostic information voluntarily supplied to oncut is handled in accordance with applicable data-protection law.
Further information is provided in the oncut Privacy Policy:
The Privacy Policy is a privacy notice and does not form part of this EULA.
Acceptance of this EULA does not constitute consent to optional processing of personal data where applicable law requires separate consent or another legal basis.
10. Ownership and Intellectual Property
Except for Third-Party Components and other material expressly identified as belonging to third parties, oncut retains all intellectual property rights in and to Prism.
These rights include, where protected by applicable law, rights in:
- the Prism panel and backend;
- Exopsis;
- source code;
- object code;
- user interface;
- architecture;
- proprietary processing logic;
- algorithms;
- data structures;
- documentation; and
- other original or protectable elements.
Third-Party Components remain owned by their respective owners and licensors.
No ownership rights in Prism or its Third-Party Components are transferred to you.
You receive only the rights expressly granted by this EULA, applicable license-specific terms, Third-Party Component licenses, and mandatory law.
Nothing in this EULA creates exclusive rights in ideas, principles, interfaces, methods, information, or other elements that are not protected by intellectual property law.
11. Your Media, Files and Metadata
You retain all rights that you hold in media, files, metadata, projects, and other content processed using Prism.
oncut does not acquire ownership of your content merely because it is processed by the Software.
Prism may, depending on the functionality you choose to use:
- inspect files;
- read metadata;
- extract metadata;
- analyse metadata;
- normalise or transform metadata;
- display metadata;
- create derived metadata or reports; and
- where supported, write or modify metadata or other information.
Operations that write or modify files may permanently alter those files.
You should maintain appropriate verified backups of important media and files before performing write or modification operations.
This recommendation does not exclude or limit any responsibility or liability that cannot lawfully be excluded or limited.
You are responsible for determining whether you have the necessary rights, permissions, and lawful basis to process third-party files or personal data using Prism.
12. Updates, Upgrades and Compatibility Changes
oncut may provide updates, upgrades, bug fixes, compatibility updates, security updates, or other modifications to Prism.
Unless supplied under separate terms, such updates form part of the Software and are governed by this EULA.
An update may replace or modify a previous version.
Third-party products, host applications, SDKs, operating systems, file formats, cameras, and other technologies may change independently of oncut.
Subject to applicable mandatory obligations, oncut may modify or discontinue support for obsolete, unavailable, insecure, or materially changed third-party technologies.
Nothing in this Section permits oncut to avoid an obligation to supply an update where such an obligation arises under mandatory applicable law.
12.1 Consumers
Where you are a Consumer, oncut will inform you of and supply updates, including security updates, to the extent and for the period required by mandatory applicable law.
Where applicable law provides that failure to install a properly supplied update may affect conformity rights, that consequence applies only under the conditions established by that law.
Nothing in this EULA limits mandatory Consumer rights concerning updates, conformity, remedies, or termination.
12.2 Update Period
A license includes every Prism release published within the update period stated in your purchase: twelve (12) months from the day the license was issued, unless your purchase states otherwise. This applies to every release within the period, whatever its version number.
After the update period, the license keeps running every release published up to its last day, for as long as the license runs. A release published later does not run with the license, and Prism says so. oncut keeps the installers of earlier releases available at https://apps.oncut.gr, so that you can install the latest release your license covers.
Security and compatibility fixes for a release you are entitled to run are provided to you under Section 12.1 and this Section whether or not the update period has ended.
You may extend the update period by a further period as offered by oncut. An extension is a re-issue of the same license: the computers it is active on stay active.
13. Support
oncut may provide support in accordance with applicable Documentation, purchase terms, support terms, licensing and support policies, or another written agreement.
Unless expressly stated otherwise, purchase of a license does not create an obligation to provide a particular support response time, support period, or service level, except where such an obligation arises under mandatory law or an express contractual commitment.
Software, patches, scripts, configuration files, license files, or other code supplied by oncut specifically for support or licensing purposes form part of the Software unless separate terms expressly apply.
14. Consumer Rights and Conformity
This Section applies where you are a Consumer.
Nothing in this EULA excludes, limits, restricts, or replaces rights granted to Consumers by mandatory applicable law.
For Consumers protected by Greek law, this includes applicable rights under Greek consumer-protection legislation and legislation governing contracts for the supply of digital content and digital services, including Law 2251/1994 and Law 4967/2022, as amended and in force.
Where required by applicable law, Prism must comply with applicable contractual and statutory conformity requirements.
Where the Software lacks conformity, you are entitled to the remedies provided by mandatory applicable law.
Descriptions of Prism, supported functionality, compatibility information, and specific commitments made by oncut are relevant to conformity to the extent provided by applicable law.
Nothing in any warranty, disclaimer, liability, update, termination, or other provision of this EULA reduces a mandatory Consumer right or remedy.
14.1 Consumer Right of Withdrawal
Any statutory right of withdrawal relating to the purchase or supply of Prism is governed by applicable mandatory law and the applicable purchase or checkout terms.
Acceptance of this EULA by itself does not constitute any separate express request, consent, or acknowledgement that applicable law may require before digital content is supplied immediately or before a statutory right of withdrawal may be lost.
15. Warranty Terms for Business Users
This Section applies only to Business Users.
Unless an express warranty is stated in applicable purchase terms or another written agreement, oncut warrants only that Prism will materially provide the functionality described in the applicable Documentation when used in a supported environment.
The Software is complex and may contain defects or limitations.
Subject to mandatory applicable law and any express contractual warranty, oncut does not guarantee that:
- operation of the Software will always be uninterrupted or error-free;
- every media file, metadata variant, camera format, or workflow will be supported;
- Prism will operate with every Avid Media Composer release branch or maintenance release;
- the Software will operate with every operating system, hardware configuration, SDK version, file format, or other third-party technology;
- third-party technologies will remain compatible indefinitely; or
- every result generated from incomplete, damaged, non-standard, undocumented, or incorrect source information will be accurate.
Nothing in this Section excludes any warranty or obligation that cannot lawfully be excluded under applicable Greek law.
16. Liability
16.1 Liability That Is Not Excluded or Limited
Nothing in this EULA excludes or limits liability where exclusion or limitation would be invalid or prohibited by applicable mandatory law.
In particular, no provision of this EULA excludes or limits liability to the extent that such exclusion or limitation is prohibited in cases including intentional misconduct, gross negligence, death or personal injury, fraud, or other matters for which liability cannot lawfully be excluded or restricted.
Any limitation contained in this EULA applies only to the extent valid under applicable Greek law, including rules applicable to contractual terms that have not been individually negotiated.
16.2 Consumers
Where you are a Consumer, the liability of oncut is governed by applicable mandatory consumer and civil law.
Nothing in this EULA limits mandatory statutory rights or remedies relating to lack of conformity, failure to supply, defective digital content, or any other matter where liability cannot lawfully be limited.
16.3 Business Users
Where you are a Business User, and only to the extent permitted by applicable law, oncut will not be liable for indirect or consequential commercial losses that are not a direct and legally recoverable consequence of the relevant breach, including:
- loss of profits;
- loss of revenue;
- loss of anticipated savings;
- loss of contracts;
- loss of business opportunities;
- loss of goodwill; or
- indirect production or workflow losses.
Where and only to the extent that a monetary limitation is lawful, oncut's aggregate contractual liability arising from the Software will not exceed the amount actually paid by the Business User for the license or service directly giving rise to the claim.
This monetary limitation does not apply to liability referred to in Section 16.1 or to any other liability that cannot lawfully be limited.
16.4 Third-Party Suppliers
To the maximum extent permitted by applicable law, Third-Party Component suppliers will not be liable to you for indirect, consequential, incidental, special, or similar losses arising from the furnishing, incorporation, performance, or use of their components as part of Prism, including loss of profits or loss of savings.
This limitation is intended to operate for the benefit of the applicable Third-Party Component suppliers to the maximum extent permitted by applicable law.
Nothing in this subsection:
- limits any mandatory Consumer right against oncut;
- excludes or limits liability that cannot lawfully be excluded or limited;
- overrides rights granted directly by an applicable Third-Party Component license; or
- creates a direct contractual obligation between you and a Third-Party Component supplier where no such obligation otherwise exists.
16.5 Media and Production Workflows
Because Prism may be used with valuable production media and metadata, you should maintain appropriate backups and verify material write or modification operations before relying on modified files in a production workflow.
Where damage is caused by matters outside the reasonable control of oncut, including corrupted source files, defective storage, unsupported third-party software, incorrect metadata supplied by third parties, hardware failure, or user modification of files outside Prism, responsibility will be determined in accordance with applicable law.
Nothing in this subsection excludes liability that cannot lawfully be excluded.
17. Transfer of the License
Except where transfer is expressly permitted by applicable license terms, by oncut, or by mandatory law, you may not assign, sublicense, rent, lease, lend, or separately transfer your Prism license to another person.
Nothing in this EULA restricts a right to transfer or resell a lawfully acquired copy or license where such a right exists under mandatory applicable law, including applicable rules concerning exhaustion of distribution rights in computer programs.
Where transfer is permitted under mandatory law, the transferor must satisfy requirements imposed by that law, including, where applicable:
- ceasing use of the transferred license;
- making retained copies unusable; and
- transferring the license as an indivisible whole where required.
A permitted transfer is carried out by deactivating the license on the transferor's computers in the License Manager (Section 2.3) and by the transferee activating it on theirs.
Licenses expressly identified as trial, evaluation, beta, pre-release, promotional, complimentary, educational, or not-for-resale may be subject to additional restrictions to the extent permitted by applicable law.
18. Term and Termination
This EULA remains effective for as long as you have a valid right to use Prism.
oncut may terminate a license where you commit a material breach of this EULA.
Where a breach is capable of remedy, oncut will provide reasonable notice and a reasonable opportunity to remedy the breach before termination, unless immediate action is reasonably justified by the nature of the breach or permitted by mandatory law.
Upon valid termination of your right to use the proprietary portions of Prism, you must cease using those portions and uninstall or destroy copies that you are no longer entitled to use.
Termination does not affect:
- rights or liabilities accrued before termination;
- provisions intended by their nature to survive termination;
- rights granted independently under Third-Party Component licenses; or
- mandatory statutory rights or remedies.
19. Export, Sanctions and Legal Compliance
You must use the Software in compliance with laws and regulations legally applicable to you and to the relevant transaction or use.
Where applicable export controls, sanctions, trade restrictions, government software regulations, or similar mandatory rules apply to Prism or a Third-Party Component, you must comply with those rules.
Certain Third-Party Components may be subject to United States or other applicable export-control or government software regulations.
Nothing in this Section requires you to comply with a foreign law merely because it exists. A foreign rule applies under this Section only where it is legally applicable to the relevant person, software component, transaction, distribution, or use.
You must not knowingly use Prism in a manner that infringes third-party intellectual property rights or other legal rights.
20. Changes to the Software and this EULA
oncut may modify Prism and may issue new versions of this EULA for future versions of the Software.
A version of this EULA supplied with a particular version or license applies to that version or license unless a lawful amendment subsequently applies.
A new EULA version will not retroactively remove rights already acquired under a paid license where doing so would require your agreement or would be prohibited by applicable law.
Where applicable law requires notice, express agreement, consent, or another procedure before contractual terms may be changed, oncut will comply with that requirement.
21. Governing Law and Jurisdiction
This EULA and contractual and non-contractual disputes arising out of or relating to it or the Software are governed by the laws of Greece.
21.1 Business Users
Where you are a Business User, the courts of Athens, Greece have exclusive jurisdiction over disputes arising out of or relating to this EULA or the Software, to the extent that such a jurisdiction agreement is legally valid.
21.2 Consumers
Where you are a Consumer, the choice of Greek law does not deprive you of protections provided by mandatory provisions of applicable law that cannot lawfully be excluded by agreement.
Jurisdiction over Consumer disputes is determined by applicable mandatory jurisdiction rules.
Nothing in this EULA requires a Consumer to bring proceedings exclusively before the courts of Greece where applicable European Union law or other mandatory law entitles that Consumer to bring proceedings before another competent court.
No provision of this EULA selects the law or courts of the United States of America, California, Germany, or any other foreign jurisdiction as the governing law or jurisdiction for disputes between you and oncut.
22. General Provisions
If any provision of this EULA is found to be invalid, unlawful, or unenforceable, the remaining provisions remain effective to the extent permitted by law.
An invalid or unenforceable provision will not be interpreted or replaced in a manner that reduces a mandatory Consumer right.
Failure by oncut to enforce a provision on one occasion does not constitute a permanent waiver of that provision.
This EULA must be read together with:
- applicable purchase or order terms;
- license-specific terms;
- the applicable Prism Documentation;
- the applicable licensing and support policies; and
- Third-Party Component licenses and notices where relevant.
For Consumers, pre-contractual information, representations, and other terms that form part of the contract under mandatory law remain effective notwithstanding this Section.
Where a Third-Party Component license grants rights directly to you, that license governs the relevant component to the extent necessary to give effect to those rights.
Mandatory applicable law prevails over any conflicting provision of this EULA.
Nothing in this EULA creates a partnership, agency, employment relationship, joint venture, sponsorship, or endorsement relationship between oncut and Avid or any other Third-Party Component supplier.
Section headings are included for convenience and do not affect interpretation.
